End User License Agreement (EULA) — Vip Tech Financial Sync

Effective date: September 15, 2026

This End User License Agreement (“Agreement”) is entered into between VIP Tech Consulting (“Provider”, “we”, “us”) and you (“User”, “you”) governing your use of the Vip Tech Financial Sync application (the “App”).

1. License grant

Provider grants you a limited, non-exclusive, non-transferable, revocable license to use the App for your own internal business purposes, in connection with QuickBooks Online companies that you own or are authorized to manage.

2. QuickBooks connection

Use of the App requires you to authorize access to your QuickBooks Online company through Intuit’s OAuth flow. You are responsible for:

  1. maintaining the confidentiality of your Intuit credentials; and
  2. selecting the correct company during authorization.

3. Restrictions

You agree not to:

  1. copy, modify, adapt, or reverse-engineer the App;
  2. use the App to access any QuickBooks company you are not authorized to manage;
  3. resell, sublicense, or redistribute the App to third parties.

4. Data accuracy

The App displays data retrieved from your QuickBooks Online company “as is.” Provider does not guarantee the completeness or accuracy of accounting records shown through the App, and is not responsible for business decisions made on the basis of such data. Always verify critical figures directly in QuickBooks.

5. No warranty

The App is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

6. Limitation of liability

To the maximum extent permitted by applicable law, Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the App.

7. Termination

You may stop using the App at any time by revoking its access in your Intuit account. Provider may suspend or terminate your access if you violate this Agreement.

8. Governing law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to conflict-of-law principles.

By connecting your QuickBooks Online company to the App, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
